In plain language

These terms explain how Mindenity works, what you can expect from us and what we expect from you. Mindenity supports care but is not an emergency service.

1. Agreement to these terms

These Terms and Conditions govern your access to the Mindenity websites, patient and therapist applications, communications and related services. By creating an account or using the service, you agree to these terms and the Privacy Policy.

If you use Mindenity for an organisation or another person under a legally permitted care arrangement, you confirm that you have authority to do so.

2. The Mindenity service

Mindenity provides care navigation, therapist discovery, appointment and session tools, secure communication, wellbeing tracking, content, MENA Assessment and MENA Companion features. Availability varies by location, plan, professional and platform.

We may improve, replace or discontinue a feature where reasonably necessary. Material changes affecting an active paid service will be communicated where practicable.

3. Eligibility and accounts

3.1 Accurate information

You must provide accurate, current information and keep it updated. Do not impersonate another person or create an account using information you are not authorised to use.

3.2 Account security

Keep your password and verification codes confidential. Tell us promptly if you believe your account has been accessed without permission.

3.3 Age and consent

You must meet the minimum age and consent requirements applicable to the service and your location. Dependent, couples and family services may require additional consent or relationship verification.

4. Clinical, safety and AI limitations

Not an emergency service

If you may act on thoughts of harming yourself or someone else, cannot stay safe, or face immediate danger, contact local emergency services or go to the nearest emergency department.

MENA Assessment produces non-diagnostic support information. MENA Companion may help with reflection and grounding but is not a therapist, diagnosis, medical device or substitute for professional care.

Automated systems may be incomplete or wrong. Do not rely on them for emergency, medication, diagnosis or treatment decisions. A qualified professional remains responsible for clinical decisions within their scope.

5. Appointments and sessions

Appointment duration, format, price and professional details are shown before confirmation. You are responsible for a suitable device, connection and private environment.

Cancellation, rescheduling, no-show and late-arrival conditions presented at booking form part of these terms. Session recording is prohibited unless everyone involved has expressly agreed and the recording is lawful.

6. Plans, payments and payouts

Prices, taxes, billing frequency and currencies are displayed before purchase. Nigerian transactions may be processed in naira and supported international transactions in US dollars. Payment providers may apply their own terms.

Subscriptions renew as disclosed at checkout until cancelled. Cancellation stops future eligible renewals but does not automatically refund a completed billing period. Refund eligibility depends on the displayed plan, appointment and applicable consumer-law terms.

Professional fees, commissions, adjustments, reserves and payout timing are governed by the applicable therapist agreement and dashboard records.

7. Acceptable use

You must not misuse the service, threaten or exploit another user, interfere with security, scrape protected content, upload malware, evade payment, attempt unauthorised access, or use the service for unlawful discrimination or harassment.

Clinical and messaging features must be used respectfully. Professionals must maintain appropriate boundaries, confidentiality, competence and records.

8. Therapists and other professionals

Professionals are responsible for maintaining valid credentials, working within competence and complying with professional and local legal duties. Verification reduces risk but is not a guarantee of outcomes or continued good standing.

Mindenity facilitates access and operations; it does not direct the independent clinical judgment of a professional.

9. Content and intellectual property

Mindenity and its licensors own the service software, branding, design and published resources. We grant you a limited, personal, revocable licence to use them for their intended purpose.

You retain rights in content you provide. You grant Mindenity the limited rights needed to host, protect, process and transmit that content to operate the service in accordance with the Privacy Policy.

10. Privacy and confidentiality

Our Privacy Policy explains how personal and sensitive information is handled. Professional confidentiality can have limited exceptions required by law, safeguarding duties or an immediate safety concern.

11. Suspension and termination

You may stop using Mindenity and request account closure. We may restrict or suspend access where necessary to investigate security, fraud, safety, professional conduct, non-payment or material breach concerns.

Account closure does not require deletion of records that must be retained for clinical, financial, safety, dispute or legal reasons.

12. Disclaimers and limitation of liability

Except where law does not allow exclusion, the service is provided on an “as available” basis. We do not promise that every professional, feature or connection will always be available or that care will produce a particular outcome.

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or wilful misconduct. Any other limitation will be applied only to the extent permitted by applicable law.

13. Governing law and disputes

These terms are governed by the laws applicable to the Mindenity entity providing your service, subject to mandatory rights in your country. Contact support first so we can try to resolve a complaint informally.

If a dispute cannot be resolved, the applicable courts or agreed dispute process will be determined by your service entity, location and mandatory consumer law.

14. Changes and contact

We may update these terms to reflect product, legal or safety changes. We will update the date above and provide additional notice for material changes where required.
